A roofing contract is a written agreement between a roofer and a property owner that defines the roof work (tear-off or overlay, materials and manufacturer), how damaged decking is priced, permits, the schedule and weather delays, clean-up, the price and payment schedule, and both the workmanship and manufacturer warranties. Clear decking and warranty terms prevent the most common roofing disputes.

The parties agree as follows:

1.  Scope of Work

1.1

The Contractor will perform the following roof work at ____________________ (the "Work"):

____________________

1.2

Roofing material: ____________________. Gutters, skylights and chimney masonry are excluded unless listed in the scope.

4.  Schedule

4.1

The Contractor will begin the Work on or about ____________________ and expects to complete it by ____________________. Dates may move because of weather, material shortages, change orders, permit or inspection delays, or other causes beyond the Contractor's reasonable control; the Contractor will keep the Client informed of any delay. Roofing work depends on dry weather; the Contractor will not leave the roof open overnight without a temporary weather-tight covering.

6.  Contract Price and Payment

6.1

The Client will pay the Contractor a total of ____________________ (the "Contract Price") for the Work described in this Agreement, plus any approved Change Orders.

6.2

The balance is due in full on completion of the Work and the Client's walk-through.

6.3

Payments may be made by check, bank transfer or card. Amounts not paid within 10 days of their due date accrue a late fee of 1.5% per month (or the maximum allowed by law, if lower). The Contractor may pause the Work while any undisputed amount is more than 10 days overdue, after giving the Client written notice.

7.  Changes to the Work

7.1

Any change to the scope, materials, price or schedule must be agreed in a written change order signed (or confirmed by email or text) by both parties before the changed work begins. Each change order states the work, the price adjustment and any effect on the schedule. The Contractor is not required to carry out changes that have not been agreed in writing.

9.  Warranties

9.1

The Contractor warrants its workmanship against leaks and installation defects for 12 months after completion. Materials carry the manufacturer's warranty: ____________________. The Contractor will register any manufacturer warranty that requires registration. Warranties do not cover damage from storms beyond the materials' rated limits, falling objects, foot traffic, or alterations by others.

15.  Disputes and Governing Law

15.1

The parties will first try to resolve any dispute by good-faith discussion. If that fails within 30 days, either party may pursue mediation or any remedy available by law. In any legal action to enforce this Agreement, the prevailing party is entitled to recover reasonable attorney's fees and costs, to the extent permitted by law. This Agreement is governed by the laws of the State of ____________________.

Roofing Contract: common questions

What should a roofing contract include?

The work (tear-off or overlay, layers, underlayment, flashing, ventilation), the material brand and color, a per-sheet price for replacing rotten decking, permits, schedule and weather, clean-up including nails, the price and payment schedule, workmanship and manufacturer warranties, and signatures.

Why price decking per sheet?

Nobody can see the deck until the old roof is off. A per-sheet price agreed in advance means rot can be fixed the same day without a pricing argument — the template includes it.

How long is a typical roofing workmanship warranty?

It varies widely — from 1 year to 10 years or more for certified installers. Manufacturer warranties on shingles are separate and often require registration.

Can a roofer take a large deposit?

Some states limit deposits on home-improvement work, and many homeowners are wary of large upfront payments. A deposit to cover materials, with the balance on completion, is common. Check your state's rules.

Is this contract legally binding?

A signed contract with an agreed scope and price is generally binding. Several states require specific home-improvement or storm-repair contract terms (for example cancellation rights). This is a template, not legal advice.
