An asbestos removal (abatement) contract is a written agreement between a licensed abatement contractor and a property owner that defines the asbestos-containing materials to be removed, the regulations the work must follow (EPA NESHAP, OSHA and state rules), containment and air monitoring, clearance testing, waste transport and disposal, price and payment, and who bears liability. Because the work is heavily regulated, the contract should spell out each party's compliance duties.

The parties agree as follows:

1.  Scope of Work

1.1

The Contractor will remove and dispose of the following asbestos-containing materials ("ACM") at ____________________ (the "Work"), as identified in ____________________:

____________________

1.2

Method: Full containment with critical barriers, negative air pressure with HEPA filtration, wet removal methods, and a decontamination unit for workers.

1.3

Work not listed above — including restoration of finishes, replacement insulation or flooring, and removal of any ACM not identified in the survey — is excluded unless added by change order.

8.  Schedule

8.1

The Contractor will begin the Work on or about ____________________ and expects to complete it by ____________________. Dates may move because of weather, material shortages, change orders, permit or inspection delays, or other causes beyond the Contractor's reasonable control; the Contractor will keep the Client informed of any delay.

9.  Contract Price and Payment

9.1

The Client will pay the Contractor a total of ____________________ (the "Contract Price") for the Work described in this Agreement, plus any approved Change Orders.

9.2

The balance is due in full on completion of the Work and the Client's walk-through.

9.3

Payments may be made by check, bank transfer or card. Amounts not paid within 10 days of their due date accrue a late fee of 1.5% per month (or the maximum allowed by law, if lower). The Contractor may pause the Work while any undisputed amount is more than 10 days overdue, after giving the Client written notice.

10.  Changes to the Work

10.1

Any change to the scope, materials, price or schedule must be agreed in a written change order signed (or confirmed by email or text) by both parties before the changed work begins. Each change order states the work, the price adjustment and any effect on the schedule. The Contractor is not required to carry out changes that have not been agreed in writing.

13.  Warranty

13.1

The Contractor warrants that the Work will be performed in accordance with this Agreement and applicable law, and that the regulated area will meet clearance criteria on completion.

17.  Disputes and Governing Law

17.1

The parties will first try to resolve any dispute by good-faith discussion. If that fails within 30 days, either party may pursue mediation or any remedy available by law. In any legal action to enforce this Agreement, the prevailing party is entitled to recover reasonable attorney's fees and costs, to the extent permitted by law. This Agreement is governed by the laws of the State of ____________________.

Asbestos Removal Contract: common questions

What should an asbestos abatement contract include?

The materials and quantities to be removed (ideally referencing a survey), the contractor's licensing, compliance with EPA NESHAP and OSHA rules, notifications and permits, containment and worker protection, who performs air monitoring and clearance testing, waste disposal and manifests, price and payment, change orders for newly discovered materials, insurance that covers asbestos work, and signatures.

Who should do the clearance air testing?

Best practice is an independent third-party consultant, not the removal contractor, so the result isn't marked by the party doing the work. The template lets you choose who hires the consultant.

Does the contractor need special insurance?

Usually yes. Many general liability policies exclude asbestos, so abatement contractors typically carry a policy without that exclusion or a contractor's pollution liability policy. Ask for certificates before work starts.

Do I need to notify anyone before asbestos removal?

For many projects, yes. EPA's asbestos NESHAP requires advance written notification (often 10 working days) to the state or EPA for removal above certain quantities, and many states have their own permits and notice rules. The contract assigns this to the contractor.

Is this a substitute for legal or regulatory advice?

No. Asbestos rules vary by state and project size. Use this template to agree the commercial terms, and confirm the regulatory requirements with your state agency or an environmental consultant.
